1. ARTICLES OF ASSOCIATION

Article 1 – Form

The undersigned have formed a simplified joint stock company (société par actions simplifiée – SAS) governed by the present bylaws and the laws and regulations in force.

Article 2 – Name

The company takes the name: URESHII VOYAGE

Article 3 – Purpose

The purpose of the company, both in France and abroad, is to:

– Organization of travel and tourism stays,

– Sales of tourist packages, ticketing, accommodation, transport and related services,

– Tailor-made tours,

– Travel agency, tour operator and incoming agency activities,

– The organization of cultural or professional events abroad (conferences, seminars, learning trips),

– And more generally, any commercial, industrial, financial, securities or real estate transactions that may be directly or indirectly related to the corporate purpose.

Article 4 – Registered office

The registered office is located at : Dijon, 21000, France

It may be transferred to any other location by decision of the Chairman.

Article 5 – Duration

The company’s term is 99 years from the date of registration, except in the event of early dissolution or extension.

Article 6 – Share capital

Share capital: 1,000 euros, fully owned and paid up by the sole shareholder.

Article 7 – Contributions

Contributions are made in cash. No in-kind or industrial contributions are planned.

Article 8 – Sole shareholder

The company has a single founding partner:

Article 9 – Chairmanship

The company is managed by a Chairman appointed for an indefinite period:

He is vested with the broadest powers to act on behalf of the company in all circumstances.

Article 10 – Collective decisions

Decisions are taken by the sole shareholder. Minutes are recorded in a register.

Article 11 – Financial year

The financial year begins on January 1 and ends on December 31 of each year.

Article 12 – Appropriation of profits

The sole shareholder decides on the appropriation of earnings.

Article 13 – Transfer of shares

Transfer of shares by the sole shareholder is unrestricted. If there is more than one shareholder, approval is required.

Article 14 – Dissolution

Early dissolution may be decided by the sole shareholder. In the event of liquidation, a liquidator is appointed.

Article 15 – Publication and registration

Legal formalities will be carried out at the clerk’s office of the commercial court and in the legal gazette.

1. Purpose

These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between Ureshii and its customers in the context of tailor-made trips to Asia (mainly Japan and South Korea).

2. Services on offer

– Travel consulting

– Booking accommodation, transport and activities

– Creating customized itineraries

– Assistance before and during your trip

3. Booking and confirmation

– All requests must be made in writing or using the online form.

– Confirmation by e-mail with quote details

– 30% deposit to confirm reservation

– Balance due 30 days before departure

4. Rates and payment terms

– All prices include VAT

– Payment by bank transfer, credit card or any other method validated by Ureshii

– Prices may vary according to period and availability.

5. Cancellation and changes

– Cancellation more than 30 days in advance: 30% of total amount

– Between 15 and 30 days: 50%.

– Less than 15 days: 100% discount

– Modification possible subject to availability

6. Responsibilities

– Ureshii is not responsible for cancellations or changes in local service providers.

– The customer is responsible for his/her own travel documents and insurance.

7. Insurance

Comprehensive travel insurance is recommended. Ureshii can offer solutions through its partners.

8. Claims

All claims must be submitted in writing within 30 days of return.

9. Personal data

Customer data is processed in accordance with the RGPD. They are not communicated to third parties without consent.

10. Applicable law and disputes

The applicable law is French law. Any dispute will be brought before the competent courts after an attempt at amicable resolution.
